Section 01

Introduction

Vaulted provides advisory, corporate formation, nominee, banking-introduction, OTC settlement introduction and card programme services to legal entities and qualified individuals. These Terms are legally binding and are designed to protect both parties by clarifying the rights and obligations attached to each engagement.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Questions may be sent to contact@vaulted.ae.

Section 02

Annual renewal fees

2.1 Company renewal fees

Where Vaulted has established a company on your behalf (UK, Estonia, Hong Kong, UAE or another supported jurisdiction), an annual renewal fee applies. The fee covers the government renewal of the licence or corporate registration, the nominee package where subscribed (director, shareholder, registered office, company secretary as applicable), and the administrative work required to keep the entity in good standing.

Renewal fees are due before the renewal deadline set by the relevant registry. Failure to pay on time may result in government penalties, strike-off of the entity, loss of banking, and cancellation of any nominee or registered office arrangement. Vaulted is not liable for penalties, fines or adverse outcomes resulting from late payment or non-payment of the renewal fee.

2.2 Nominee service renewals

Nominee director, nominee shareholder, registered office and mail-forwarding services are renewed on a rolling twelve-month basis unless terminated in accordance with Section 6. Renewal fees are invoiced at least thirty (30) days before the renewal date. Non-payment triggers immediate resignation of the nominee and return of official correspondence to the registry.

2.3 Closure and liquidation

Where you wish to close or liquidate an entity established through Vaulted, a comprehensive liquidation fee applies. This covers preparation of the required final accounts, drafting and submission of the liquidation resolutions, liaison with the registry, and administrative support up to deregistration. The liquidation fee excludes outstanding government fines, translation, apostille and third-party costs, all of which are payable by you before the process begins.

Section 03

Banking and payment account introductions

3.1 Scope of services

Vaulted introduces clients to regulated banking and payment partners (banks, electronic money institutions, virtual IBAN providers, merchant acquirers and payment service providers) across multiple jurisdictions. Services include preparation of the application file, positioning of the file with the partner, liaison with the partner throughout the review, and advice on the banking option best matched to the business.

3.2 Fees and exclusions

A one-time setup fee applies to each introduction, quoted in the engagement letter. Ongoing account fees, card fees, transaction fees and other charges levied by the partner institution are outside the scope of the setup fee and are payable directly by you to the partner. Translation, notarisation, apostille and courier costs are also excluded.

3.3 No guarantee of approval

Vaulted provides introduction services on a best-efforts basis. Approval of any account, facility, card programme or OTC line rests solely with the regulated partner. Vaulted does not guarantee approval, timing or ongoing availability, and is not responsible for rejections, delays caused by the partner or policy changes at the partner.

3.4 Client responsibilities

You agree to provide accurate, complete and up-to-date documentation, to respond promptly to information requests, and to ensure that all information provided complies with the KYC and AML requirements of Vaulted and of the partner institution. Failure to do so may result in delays, additional cost or refusal of the application, for which Vaulted is not liable.

Section 04

Compliance and advisory subscriptions

4.1 Scope

Where you subscribe to an ongoing compliance package (accounting, VAT filing, annual return preparation, economic-substance filing, or advisory retainer), the subscription fee covers routine work within the stated scope. Additional work, one-off consultancy, dispute handling and correspondence with authorities are billed separately.

4.2 Payment and suspension

Subscription fees are invoiced in advance. Non-payment may result in suspension of non-essential services and, after repeated non-payment, termination of the subscription. Fees are non-refundable for the paid period, and no partial refund is due for cancellation mid-term.

4.3 Opting out

You may opt out of a compliance subscription at signing. Where you do so, you accept full responsibility for filings, deadlines and compliance with the applicable regulations. Vaulted is not liable for penalties or legal consequences arising from your independent compliance management.

Section 05

Exclusivity

For each entity established through Vaulted, you agree to a binding exclusivity period of three (3) years from the date of incorporation, during which the entity is administered exclusively by Vaulted. During this period you may not:

  • Transfer administration of the entity, its nominee package or its registered office to another agent without Vaulted's prior written consent.
  • Engage directly with the free zone, mainland or company registry authority in respect of matters covered by Vaulted's services.

Breach of exclusivity entitles Vaulted to a fixed compensation payment set out in the engagement letter, without prejudice to any additional loss actually suffered. After the exclusivity period ends, you may request a handover to another agent; a one-time administrative handover fee applies, covering documentation transfer, registry filings and coordination with the incoming agent. All outstanding fees must be settled in full before the handover begins.

Section 06

Termination of services

6.1 By the client

Subject to the exclusivity provisions in Section 5, you may terminate an engagement by written notice, provided that all outstanding fees are settled and any resignation or handover formalities are completed. Prepaid fees for the current period are non-refundable.

6.2 By Vaulted

Vaulted may suspend or terminate any engagement with immediate effect where:

  • KYC, AML or sanctions requirements cannot be satisfied.
  • Information provided is false, incomplete or misleading.
  • The client's conduct or business exposes Vaulted or its partners to legal, regulatory or reputational risk.
  • Fees remain unpaid after a reasonable reminder.

On termination, Vaulted will file resignations of nominee officers, terminate registered-office arrangements and return official correspondence to the registry. Vaulted is not liable for consequences arising from a termination triggered by client conduct.

6.3 Liquidation

Formal liquidation of an entity is a separate service governed by Section 2.3.

Section 07

KYC, AML and sanctions

You agree to comply fully with Vaulted's Know Your Customer and Anti-Money Laundering policies, and with the equivalent policies of any partner institution. You will provide, on request, identification documents, proof of address, corporate documentation, source of funds and source of wealth evidence, and any additional information reasonably required.

Vaulted conducts ongoing screening against consolidated sanctions lists, PEP databases and adverse-media sources, and monitors client activity against the stated profile. Non-compliance may lead to suspension, termination and reporting to competent authorities as required by law. Vaulted is not liable for delays, penalties or losses resulting from client non-compliance.

Section 08

Liability

Vaulted's aggregate liability under any engagement is limited to the fees actually paid to Vaulted under that engagement in the twelve (12) months preceding the event giving rise to the claim. Vaulted is not liable for:

  • Indirect, consequential, incidental or punitive damages, loss of profits, revenue, business, data or goodwill.
  • Delays, refusals or actions of banks, EMIs, payment processors, card programmes, government authorities, courts or any other third party.
  • Fines, penalties or regulatory action arising from client-provided information that is inaccurate, incomplete or out of date.
  • Loss caused by force majeure, including natural disasters, government action, sanctions changes, labour disputes and technology outages.

Vaulted provides all services on a best-efforts basis and makes no warranty as to specific outcomes.

Section 09

Confidentiality and data protection

Each party will treat all non-public information received from the other as confidential and will use it solely to perform the engagement. Vaulted may share information with partner institutions and processors on a need-to-know basis, subject to written data-processing terms.

Vaulted applies access controls, encryption in transit and at rest for stored documents, and dual approval for outbound transmissions of sensitive files. You are responsible for maintaining the security of your own credentials and communication channels. Data-subject requests and questions on data handling are addressed in our Privacy Policy.

Section 10

Amendments

Vaulted may amend these Terms at any time to reflect changes in law, regulation or business practice. Material amendments will be notified by email or by publication on the Site at least thirty (30) days before they take effect, except where an earlier effective date is required by law. Continued use of the Services after the effective date constitutes acceptance of the amended Terms.

Section 11

Governing law and jurisdiction

These Terms are governed by, and construed in accordance with, the laws of England and Wales. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating proceedings the parties will use reasonable efforts to resolve the dispute in good faith through direct discussion or, where appropriate, mediation. Any claim against Vaulted must be brought within one (1) year from the date the cause of action arose; claims brought later are waived.

Section 12

Indemnity

You agree to indemnify and hold Vaulted harmless against any claim, loss, damage, liability, cost and expense (including reasonable legal fees) arising from or related to:

  • Any breach by you of these Terms, including breach of exclusivity, non-payment of fees or non-compliance with KYC and AML requirements.
  • Any act or omission by you that contravenes applicable local or international law.
  • Submission of false, incomplete or misleading information in the course of the Services.
  • Third-party claims against Vaulted resulting directly or indirectly from your acts or omissions, including disputes with regulatory authorities, financial institutions or other service providers.

This indemnity does not extend to claims arising solely from Vaulted's gross negligence, wilful misconduct or breach of these Terms.
